Formal pricing is only confirmed via an official Proforma Invoice (PI) or Sales Contract signed by both parties. * Commodity Specifications: All products (such as grain length for rice, EC levels for coco peat, or weight/size for fresh coconuts) adhere to agreed commercial tolerance bands defined in the specific Sales Contract. 2. Orders, Contracts & Trade Terms (Incoterms) * Trade Terms: Unless explicitly agreed otherwise in writing, all international shipments follow the latest ICC Incoterms (e.g., FOB, CIF, CFR) specified on the Proforma Invoice. * Binding Agreement: A legally binding order exists only after written confirmation, execution of a Proforma Invoice/Contract, and receipt of the agreed deposit or irrevocable financial instrument. 3. Payment Terms * Accepted Methods: Commercial payments must be executed via authorized banking channels (e.g., Wire Transfer / T/T, Irrevocable Letter of Credit [L/C at sight], or other terms specified in the contract). * Currency & Bank Charges: Invoices are issued in the currency stated on the contract (typically USD or INR). Buyer is responsible for intermediary bank charges unless mutually agreed otherwise. * Default: Dispatch of goods, bill of lading issuance, and transfer of cargo titles remain subject to receipt of payment as stipulated in the agreed contract. 4. Shipping, Delivery & Inspection * Dispatch Timelines: Delivery timelines are estimates based on vessel availability, port loading schedules, and seasonal harvesting cycles. We are not liable for transit delays caused by shipping lines, port congestion, or maritime disruptions. * Pre-Shipment Inspection: Quality, quantity, and packaging verification may be conducted at the port of origin or processing facility by internationally recognized third-party agencies (e.g., SGS) at the agreed party's expense prior to container sealing. * Phytosanitary & Import Clearances: We supply standard origin documents (Commercial Invoice, Packing List, Bill of Lading, Certificate of Origin, and Phytosanitary Certificate). The buyer is responsible for verifying that destination country regulations allow import of the commodity and for completing import customs clearance. 5. Claims and Dispute Resolution * Notice of Discrepancy: Any claim regarding product defect, damage, or quantity shortfall must be submitted in writing within 7 to 14 calendar days of container arrival at the discharge port, accompanied by an official joint survey report by an accredited marine surveyor. * Natural Perishability: Natural dehydration, moisture variance, or minor transit degradation standard to raw agricultural commodities (fresh coconuts, bulk grains) within acceptable international trade tolerances does not constitute a valid breach of contract. 6. Force Majeure Neither party shall be held liable for failure or delay in fulfilling trade obligations if caused by events beyond reasonable control, including but not limited to acts of God, extreme weather events, crop failures due to natural disasters, war, embargoes, export/import bans imposed by government bodies, port strikes, or maritime blockades. 7.
